Please read this before you join. It covers what Nivi is, what it isn't, and what to expect.
NIVI – TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of the Nivi mobile application, WhatsApp-based communications and any other services made available by Nivi from time to time (collectively, the “Services”).By creating an account, submitting your onboarding information, clicking “I Agree” or using the Services, you agree to these Terms.
1. About Nivi
Nivi is a personalized women's wellness platform that provides general guidance and support relating to food, movement, hydration, self-care, weather, menstrual cycle, reproductive life stage and other wellness considerations, based on information provided by you.
Nivi is a wellness platform and not a medical or healthcare service. Nothing provided through the Services constitutes medical advice, diagnosis, treatment, prescription or clinical recommendation.
Nivi does not diagnose or treat medical conditions, prescribe medication or supplements, interpret laboratory or diagnostic results, or provide medically prescribed dietary or calorie targets.
The Services are not a substitute for consultation, diagnosis or treatment by a qualified healthcare professional.
2. Eligibility and Your Information
The Services are intended for women aged 25 to 55, unless otherwise permitted by Nivi. You must provide accurate and up-to-date information and promptly inform Nivi of any material change. Nivi relies on this information to personalize the Services and is not responsible for consequences arising from inaccurate, incomplete or misleading information provided by you.
If you are pregnant, undergoing fertility treatment, have a current or past diagnosed eating disorder, a medically significant or unstable condition, are under medical supervision, are taking medication that may affect your ability to safely participate, or have any other circumstance that may make the Services unsuitable for you, you should obtain appropriate advice or clearance from a qualified healthcare professional before participating in or relying on the Services..
3. Nature of Guidance and Your Responsibility
The guidance provided through Nivi is general in nature and may not be suitable for every individual or circumstance.
You remain responsible for determining whether any guidance, suggestion, food, activity or other recommendation is appropriate for your individual circumstances and for seeking professional advice where required.
Individual results may vary. Nivi does not guarantee weight loss, improved health, fitness, wellbeing, hormonal balance, menstrual health, fertility or any other specific outcome.
If you experience any new, worsening or concerning symptom or condition, you should seek appropriate medical attention and should not rely solely on the Services.
4. Physical Activity
Any movement, exercise or physical activity suggested through the Services is undertaken voluntarily and at your own discretion. You are responsible for considering your physical condition and limitations, and should stop any activity causing pain, discomfort, dizziness, breathlessness or other concerning symptoms and seek professional advice where necessary.
5. No Emergency or Urgent Healthcare Services
Nivi is not an emergency or urgent healthcare service and is not monitored for emergency purposes.
You must not use the Services to seek emergency medical assistance. In the event of an emergency or urgent medical concern, you should immediately contact the appropriate emergency services or seek assistance from a qualified healthcare professional or medical facility.
6. Fees, Subscriptions, Cancellation and Refunds
Certain Services may require payment of a fee or subscription amount, as communicated to you at the time of purchase. Unless otherwise expressly stated, fees paid for a Service or subscription period that has commenced shall be non-refundable.
No refund shall be issued where your access to the Services is suspended or terminated due to your breach of these Terms or misuse of the Services.
For any other cancellation or refund request, you may contact Nivi with the relevant details and reasons. Nivi shall review the request and determine whether a refund is appropriate, taking into account the circumstances of the request, the nature and extent of the Services already provided and any other relevant factors. The decision of Nivi in relation to such refund requests shall be final, subject to applicable law.
Where a refund is approved, it shall be processed through the original payment method or such other method as Nivi may reasonably determine.
7. Use of the Services
You are responsible for maintaining the confidentiality of your account credentials and for activities undertaken through your account. You must promptly notify Nivi of any suspected unauthorized access or use.
You must not:
• provide false or misleading information;
• share, transfer, resell or commercially exploit your access to the Services;
• allow another person to use your account;
• misuse, interfere with or attempt to gain unauthorised access to the App or Services;
• copy, reproduce, distribute or commercially exploit Nivi's content without permission; or
• disclose, screenshot, forward, publish or otherwise share another user's personal, health or other confidential information or communications without appropriate consent.
Nivi may modify, update, suspend or discontinue any feature or part of the Services where reasonably necessary for operational, technical, security, legal or business reasons.
8. Communications and Third-Party Platforms
Nivi may communicate with you through the App, WhatsApp, email, notifications or other relevant channels. Certain Services may involve third-party platforms or providers, whose terms and privacy practices may also apply.
9. Privacy and Confidentiality
Nivi may collect and process your personal, contact, lifestyle, wellness, menstrual, reproductive, dietary and physical activity information as reasonably necessary to provide and personalise the Services.
Such information may be used to deliver and administer the Services, communicate with you, process payments and refunds, respond to queries, improve the Services and comply with applicable legal obligations. Your information will be handled in accordance with Nivi's Privacy Notice.
Access may be provided to Nivi's employees, consultants and service providers only where reasonably necessary and subject to appropriate confidentiality and data-protection obligations.
10. Nivi Content and Intellectual Property
All content, guidance, materials, methodologies, frameworks, designs, text, graphics and other materials made available through Nivi are owned by or licensed to Nivi.
These materials are provided solely for your personal and non-commercial use. You may not reproduce, distribute, publish, sell, modify, commercially exploit or otherwise share them without Nivi's prior written consent, except where permitted by applicable law.
11. Suspension and Termination
Nivi may suspend or terminate your access if you breach these Terms, provide materially inaccurate or misleading information, misuse the Services or Nivi's content, engage in conduct adversely affecting Nivi or other users, or where continued access is reasonably considered inappropriate or unsafe.
12. Liability and Responsibility
To the extent permitted by applicable law, Nivi shall not be liable for any loss, injury, damage or adverse outcome arising from inaccurate, incomplete or misleading information provided by you; your failure to seek appropriate medical or professional advice; reliance on guidance unsuitable for your circumstances; voluntary participation in any physical activity or other suggestion; use of the Services contrary to these Terms or their intended purpose; or the acts, omissions or services of third parties outside Nivi's reasonable control.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited. You shall be responsible, to the extent permitted by applicable law, for any claims, losses, damages or liabilities arising from your material breach of these Terms or misuse of the Services.
13. Changes and General Terms
Nivi may update these Terms from time to time. Where a material change affects your rights or obligations, we will provide reasonable notice where appropriate. Continued use of the Services after the revised Terms take effect constitutes acceptance of such Terms, to the extent permitted by law.
These Terms, together with the Privacy Notice and applicable Nivi policies, constitute the entire agreement between you and Nivi. If any provision is held invalid or unenforceable, the remaining provisions will continue in effect.
These Terms are governed by the laws of India, and the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising from the Services, subject to applicable law.

NIVI – PRIVACY NOTICE

This Privacy Notice explains how Nivi collects, uses, stores and otherwise processes your personal information when you use the Services.
1. Information We Collect and Use
Nivi may collect and process your personal, contact, lifestyle, wellness, menstrual, reproductive, dietary and physical activity information, and other information reasonably necessary to provide and personalize the Services.
We may use this information to provide and administer the Services, communicate with you, process payments and refunds, respond to queries, improve our Services, maintain necessary records and comply with applicable legal obligations.
2. Sharing and Third-Party Services
Your information may be accessed by Nivi's employees, consultants and service providers only where reasonably necessary to provide, administer or support the Services and subject to appropriate confidentiality and data-protection obligations.
Nivi may also use third-party communication, technology and payment providers. Where you use a third-party platform, such as WhatsApp, your information may also be subject to that platform's applicable terms and privacy practices.
3. Sensitive Information and Your Choices
Some information you provide, including health, menstrual-cycle, reproductive, dietary and physical activity information, may be sensitive in nature. Where required, Nivi will obtain your consent through a clear affirmative action.
You may withdraw consent, where applicable, by contacting Nivi. However, where certain information is necessary to provide the Services, withdrawal may result in Nivi being unable to provide some or all of the Services. Withdrawal will not affect processing lawfully carried out before such withdrawal.
4. Data Security and Retention
Nivi will take reasonable technical and organizational measures to protect your information against unauthorized access, use, disclosure, alteration, loss or destruction.
Your information will be retained only for as long as reasonably necessary to provide and administer the Services, comply with legal or regulatory requirements, or establish, exercise or defend legal claims, after which it may be deleted, anonymised or otherwise ceased to be retained, subject to applicable law
